Pixetric Terms of Service

These terms govern your use of Pixetric’s platform, APIs, and related services.
1. Your agreement with Pixetric
1.1 By registering for, accessing, or using Pixetric products (collectively, the “Services”), you agree to these Terms of Service (the “Terms”). If you do not agree, do not create an account or continue using the Services.
1.2 Acceptance occurs when you sign up for the Platform, click through an online order, or execute a master service agreement. If any separate agreement conflicts with these Terms, the negotiated agreement governs for the conflicting subject matter.
1.3 You may only use Pixetric if you are at least 16 years old and not barred from receiving the Services under applicable export controls or sanctions. Your use is not contingent on any future roadmap items or statements about upcoming functionality.
1.4 References to “you” include the organization on whose behalf you act. If you use an email domain owned by your employer or client, you represent that you have authority to bind that entity and acknowledge it may administer your account.
2. Your account and the way you use Pixetric
2.1 Provide accurate registration information and keep credentials secure. Notify Pixetric immediately of unauthorized access. Sharing credentials between individuals constitutes a material breach.
2.2 Administrators (“Admins”) manage authorized users. Admins must de-authorize access within fifteen (15) days when someone leaves your organization and may be asked to confirm that user email addresses remain active.
2.3 You control who can view or fork your projects. Pixetric is not responsible for how third parties use content you intentionally share.
2.4 Comply with all laws, including export restrictions, economic sanctions, and data protection rules. You may not upload Prohibited Content, interfere with the service, or attempt to access administrative interfaces through unsupported means.
2.5 You may not use the Platform to reverse engineer Pixetric, bring intellectual property claims, or build a competing hosted Postgres service.
2.6 Third-party invitations remain under the control of the inviting customer; any content submitted to their projects is governed by their policies.
2.7 If you violate these Terms, Pixetric may suspend your account, throttle usage, or remove content to protect the platform.
3. Privacy, Personal Data, and Customer Data
3.1 The Pixetric Data Processing Agreement (DPA) describes how we process Customer Personal Data on your behalf. It is incorporated by reference.
3.2 Customer Data remains yours. Pixetric only accesses it to provide, secure, troubleshoot, and improve the Services or as required by law.
3.3 Do not upload sensitive information (such as PHI) unless specifically permitted and configured under a Business Associate Agreement. You are responsible for the accuracy and legality of Customer Data.
4. Fees for the use of Pixetric products
4.1 Plans are billed in U.S. dollars based on the usage metrics defined in your order form. Subscriptions renew automatically for the same term unless canceled at least fourteen (14) days before the renewal date.
4.2 All fees are non-cancelable and non-refundable except where the Terms or an order expressly provide otherwise. Pixetric may adjust pricing for future billing cycles with prior written notice.
4.3 You authorize Pixetric to charge your payment method on file. Keep billing information current and pay any applicable taxes. Late payments accrue interest and may result in suspension or downgrade to the free tier.
4.4 If fees remain unpaid for sixty (60) days, Pixetric may deactivate your account and delete associated projects after reasonable notice.
5. Your control and responsibility
5.1 You are solely responsible for all Customer Data, instructions, infrastructure, credentials, and results produced through your account—even if generated by integrations or automated workflows.
5.2 Maintain backups of your projects. Pixetric is not liable for loss of data caused by malware, user action, insecure credentials, or unsupported customizations.
5.3 You may not copy, modify, resell, or white-label Pixetric, nor exceed the usage limitations associated with your plan.
6. Intellectual property ownership
6.1 Pixetric owns all intellectual property in the Platform, API, documentation, and related technologies. Open-source components remain under their respective licenses.
6.2 You own your Content and grant Pixetric a limited license to use it as necessary to deliver, protect, and improve the Services.
6.3 You grant Pixetric the right to use feedback and Aggregated Data to refine and enhance the Services without restriction.
7. Service limitations and modifications
7.1 Pixetric continually improves the Platform and may modify features, provided such changes do not materially degrade the contracted functionality during your current subscription term.
7.2 Planned maintenance, security work, or unexpected outages may cause temporary downtime. Pixetric will make commercially reasonable efforts to minimize impact.
7.3 We may discontinue any Service or feature for technical or legal reasons with prior notice where practical.
8. Account deactivation and deletion
8.1 You may cancel through the console at any time. The cancellation takes effect at the next billing cycle once active projects are deleted or transferred.
8.2 Pixetric may suspend or terminate your account for violations of these Terms, suspected fraud, or extended inactivity. We attempt to give notice when feasible.
8.3 Export your projects before termination. Otherwise, data may be irretrievably deleted.
9. Warranty disclaimer
Pixetric Services are provided “as is” and “as available.” We disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, and any warranties arising out of course of dealing or usage of trade.
10. Limitation of liability
Pixetric is not liable for indirect, incidental, consequential, exemplary, or punitive damages, or for lost profits, lost data, or cost of substitute services.
Except where prohibited by law, Pixetric’s total aggregate liability under these Terms is limited to the fees you paid during the six (6) months preceding the event giving rise to the claim.
11. Indemnification
You will defend, indemnify, and hold harmless Pixetric and its affiliates from claims, losses, and expenses arising out of your Customer Data, your use of the Services, or your violation of these Terms or applicable laws. Pixetric will notify you of any claim and you may not settle without Pixetric’s prior written consent.
12. Confidentiality
Each party may receive Confidential Information from the other. Such information must be protected using at least the same degree of care used for your own confidential data and may only be used to perform obligations under these Terms.
Confidentiality obligations do not apply to information that becomes public through no fault of the recipient, was independently developed, or must be disclosed by law (with notice where legally permitted).
13. Third-party products and AI features
Pixetric may integrate with third-party tools. Their terms apply, and Pixetric is not responsible for those services. Review permissions carefully before connecting third-party integrations.
Pixetric may use AI-assisted features to improve SQL suggestions, scaling recommendations, or developer ergonomics. These features may evolve and may rely on anonymized usage data.
14. Technical previews
Early access, alpha, beta, or preview features are provided as-is, may change without notice, and may not include support or service-level commitments. Usage may be subject to additional limits or terms posted in the console.
Pixetric’s aggregate liability for Technical Preview offerings will not exceed ten U.S. dollars (US$10).
15. Changes to these Terms
Pixetric may modify these Terms. Material updates will be communicated through the console or email before they take effect. If you disagree with the new Terms, discontinue use before the effective date; continuing use constitutes acceptance.
16. Publicity
Pixetric may identify you as a customer using your name or logo on the website, in customer lists, or in case studies, unless you notify us in writing to opt out. Both parties must provide prior written consent for any other publicity.
17. Miscellaneous and governing law
These Terms form the entire agreement unless replaced by a separate written contract. They are governed by the laws of the State of Delaware, excluding conflict-of-law principles. The parties submit to the exclusive jurisdiction of Delaware courts.
Both parties waive participation in class actions. You may opt out by emailing privacy@pixetric.com within thirty (30) days of first using the Services.
Pixetric may assign these Terms to an affiliate or in connection with a merger or asset sale. You may not assign without Pixetric’s prior written consent. Neither party is liable for delays caused by events beyond reasonable control (force majeure).
Definitions
Account: The console-based interface used to access Pixetric Services, manage projects, billing, and authorized users.
Affiliate: Any entity controlling, controlled by, or under common control with a party, where “control” means ownership of more than 50% of voting interests.
Customer Data: All information, code, schemas, queries, metrics, and other content transferred to Pixetric by you or your authorized users, including Customer Personal Data.
Personal Data: Information about an identified or identifiable natural person, as defined by applicable data protection laws.
Platform: Pixetric’s proprietary cloud Postgres platform, APIs, documentation, and tooling.
Project: A logical collection of branches, databases, instances, roles, and configuration maintained through the Platform.
Prohibited Content: Content that is unlawful, harmful, discriminatory, infringes intellectual property, contains malware, or violates privacy rights.
Services: All Pixetric products, including the Platform, APIs, websites, and associated software.
